AGREEMENT TO TERMS
These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("you," "your," or "Customer") and University Halal Market ("we," "us," "our," "Company," or "UHMSD") regarding your use of our website, online ordering platform, and related services (collectively, the "Service").
By accessing, browsing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Service.

These Terms govern your use of our online ordering platform and related services.
2. Description of Service
Our Service is a web-based platform that enables customers to:
- Browse our product catalog of halal meat products and related items
- Create and manage a shopping cart
- Place orders for in-store pickup
- View order confirmations and information
Service Availability: We reserve the right to modify, suspend, discontinue, or restrict access to any part of the Service at any time, with or without notice, for any reason, including but not limited to maintenance, updates, or business needs. We do not guarantee that the Service will be available at all times or that it will be error-free.
3. Eligibility and Account Requirements
- Age Requirement: You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Service and place orders.
- Accuracy of Information: You represent and warrant that all information you provide to us is accurate, current, and complete. You agree to update your information promptly if it changes.
- Prohibited Users: The Service is not intended for use by individuals under 18 years of age. We do not knowingly collect information from minors.
- Account Responsibility: You are responsible for maintaining the confidentiality of any order information and for all activities that occur under your order.
4. Orders and Payment
4.1 Placing Orders
- Order Process: You may browse our product catalog, add items to your cart, and submit orders through our Service. All orders are subject to acceptance by us.
- Order Acceptance: We reserve the right to accept or reject any order for any reason, including but not limited to product availability, pricing errors, or suspected fraud.
- Order Confirmation: Submission of an order does not constitute acceptance. We will confirm your order via the Service, and your order is not binding on us until we confirm acceptance.
4.2 Pricing and Availability
- Pricing: All prices are displayed in U.S. Dollars (USD) and are subject to change without notice. We reserve the right to correct pricing errors at any time, even after an order has been submitted.
- Product Availability: Product availability is subject to change and is not guaranteed. If a product becomes unavailable after you place an order, we will contact you using the provided phone number to discuss alternatives or cancel the unavailable items.
- Stock Limitations: We reserve the right to limit quantities purchased per person, per household, or per order.
4.3 Payment Terms
- Payment Method: Payment is required in-store at the time of pickup. We accept cash and credit/debit cards at our physical location.
- No Online Payment: We do not currently process payments online. All payments are handled in-person at pickup.
- Price Changes: Prices are subject to change, and the price charged will be the price in effect at the time of pickup, not necessarily the price displayed when you placed the order.
4.4 Order Cancellation and Modifications
- Customer Cancellation: You may request to cancel your order by contacting us before it is marked as "ready" for pickup. Once an order is marked "ready," cancellation is at our sole discretion and may be subject to restocking fees.
- Our Cancellation Rights: We reserve the right to cancel any order at any time for any reason, including but not limited to product unavailability, pricing errors, suspected fraud, or violation of these Terms.
- Modifications: Order modifications are subject to our approval and product availability.
5. Customer Obligations
- Accurate Information: You must provide accurate, current, and complete information when placing orders, including your name, phone number, and any other required information. You are solely responsible for ensuring we can contact you regarding your order.
- Pickup Responsibility: You agree to pick up your order at our physical location (6172 University Ave, San Diego, CA 92115) during our business hours and pay for the order at the time of pickup.
- Pickup Deadline: Orders must be picked up within the specified timeframe. Failure to pick up your order within the designated time may result in order cancellation, disposal of products, and forfeiture of any amounts paid (if applicable).
- Identification: You may be required to provide identification when picking up your order to verify your identity.
- Compliance: You agree to comply with all applicable laws and regulations when using our Service.
6. Prohibited Uses
You agree not to use the Service:
- For any unlawful purpose or in violation of any applicable laws or regulations
- To submit false, fraudulent, or misleading information
- To impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity

The Service, including but not limited to its design, text, graphics, logos, images, product descriptions, software, and all other content, is the property of University Halal Market or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not:
- Copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Service
- Use any illustrations, photographs, video or audio sequences, or graphics separately from accompanying text
- Delete or alter any copyright, trademark, or other proprietary rights notices
7.2 Your Content

You may stop using the Service at any time by discontinuing your use of the Service. To request deletion of your order data, contact us using the information provided in Section 15.
9.2 Termination by Us
We reserve the right, in our sole discretion, to:
- Suspend or terminate your access to the Service at any time, with or without cause or notice
- Cancel any pending orders if you violate these Terms
- Refuse service to anyone for any reason at any time
9.3 Effect of Termination
Upon termination of your access to the Service:
- Your right to use the Service will immediately cease
- We may delete or deactivate your order information, subject to our legal obligations
- All provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 7 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law)
10. Disclaimers and Limitation of Liability
10.1 Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- The results obtained from using the Service will be accurate or reliable
- Any errors in the Service will be corrected
- The Service or servers are free of viruses or other harmful components
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNIVERSITY HALAL MARKET, ITS OWNERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you, but in such cases, our liability will be limited to the fullest extent permitted by applicable law.
11. Indemnification
You agree to defend, indemnify, and hold harmless University Halal Market, its owners, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
- Any content or information you submit, post, or transmit through the Service
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses.

We reserve the right to modify these Terms at any time, in our sole discretion. If we make material changes to these Terms, we will:

- Provide notice through the Service (if applicable)
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service immediately.

13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
13.2 Jurisdiction and Venue
Any legal action or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in San Diego County, California. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
13.3 Dispute Resolution
Informal Resolution: Before filing a claim, you agree to contact us at universityhalalmarket@gmail.com to attempt to resolve the dispute informally. We will try to resolve the dispute within 60 days.
Waiver of Class Actions: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13.4 Limitation on Time to File Claims
Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action or claim is permanently barred.
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and University Halal Market regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings.
14.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid, illegal, or unenforceable provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable.
14.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of University Halal Market.
14.4 Assignment
You may not assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice or consent.
14.5 Force Majeure
We shall not be liable for any failure or delay in performance under these Terms which is due to earthquake, fire, flood, act of God, act of war, terrorism, epidemic, pandemic, labor dispute, government action, or other cause which is beyond our reasonable control.
